Brad Adderley is the Bermuda Managing Partner and has overall responsibility for managing the operations of Appleby’s Bermuda office. He is also the Bermuda Group Head of the Corporate department and the Insurance and Reinsurance global sector leader. Brad was appointed to these positions in January 2022. Brad has been a member of the Insurance team for over 25 years.
He has extensive experience in the insurance and reinsurance market and specialises in ILS and alternative collateralised reinsurance investment transactions. He has advised clients on a wide range of transactions including catastrophe bonds, special purpose insurers, sidecars, life insurance securitisations, and other fully collateralised structures. Brad is also a member of Appleby’s global Technology & Innovation group, providing comprehensive advice in connection with all aspects of digital asset issuances and the carrying on of digital asset business.

- SELECTIVE INSURANCE, Appleby acted as Bermuda counsel to Selective Insurance in relation to securing $325m in reinsurance from debut cat bond (2024);
- KUVARE HOLDINGS, Appleby advised Kuvare Holdings (Kuvare) on its formation of Kindley Re Ltd. (Kindley Re), a newly formed Bermuda-domiciled reinsurer which will co-invest at least USD 400 million with Kuvare in qualifying life insurance and annuity transactions (2023);

- ASCOT, Acted as Bermuda counsel to Ascot, one of the world’s pre-eminent specialty risk assumption organizations, in its issuance of $400 million of Senior Notes due 2030 (2020);
- AXIS CAPITAL, Advised Bermuda-headquartered global (re)insurer AXIS Capital in its 2020 issuance of insurance and reinsurance linked notes. The company continues to expand on its insurance-linked securities (ILS) activities, particularly in private quota shares, while the Alturas Re Sidecar allows it to also syndicate some of its risk to investors in securitised form (2020);
- CONVEX GROUP LIMITED, Acted as Bermuda counsel to Hypatia Ltd. In connection with its formation and issuance of 300m notes issued in two traches, class A and class B (2020);
- CREDIT SUISSE, Assisted Credit Suisse with USD461 million Operational Re catastrophe bond coverage. This represents the third and largest operational risk cat bond transaction for Credit Suisse (2020);
- INTEGRAL ILS LTD., Advised Integral ILS Ltd., an independent alternative fund manager focused on insurance-linked strategies in connection with a significant cornerstone investment (2020);
- MATTERHORN RE LTD., Acted as counsel to Matterhorn Re Ltd., on its fourth catastrophe bond transaction in less than one year, under the sponsorship of Swiss Re (2020);
- METROCAT RE LTD., A Bermuda domiciled special purpose insurer, was established for issuing a series of catastrophe bond notes to support the risk transfer needs of First Mutual Transportation Assurance Co. (“FMTAC”), the New York State-licensed captive insurer and subsidiary of the New York Metropolitan Transportation Authority (2020);
- PGGM, Acted as Bermuda counsel to PGGM, a cooperative Dutch pension fund service provider, in relation to an investment into Swiss Re’s sidecar vehicle, Viaduct Re Ltd. (2020);
- MATTERHORN RE LTD., Acted as Bermuda counsel to Matterhorn Re Ltd. in connection with the sale and issue by the company, acting in respect of its segregated account, of Class A Principal At-Risk Variable Rate Notes (2020);
- SIERRA LTD., Advised Sierra Ltd., the vehicle used by Bayview Asset Management, LLN in its first ever ILS transaction. The novel transaction saw a non-insurance derivative structure adopted under which US earthquake risk coverage is provided under a risk transfer agreement (2020);
- ALTURAS RE LTD., Advised AXIS Capital, the Bermuda-headquartered global re/insurer, in the creation and funding of its sidecar Alturas Re Ltd. The total issuance size of the note issuance was $130 million (2019);
- ARTEX SAC LIMITED., Advised Artex SAC Limited in connection with several Dodeka private catastrophe bond transactions from ILS investment fund manager Twelve Capital. The transactions have been issued using Artex’s SAC Limited vehicle. Dodeka XIX, Dodeka XVIII and Dodeka XX each represent a single segregated account of this issuing vehicle (2019);
- GALILEO RE LTD., Acted for a Bermuda domiciled special purpose insurer, established for issuing series of catastrophe bond notes to support the risk transfer needs of AXA XL and certain of its insurance and reinsurance affiliates and related entities (collectively, AXA XL) (2019);
- ODIN RE LTD., Assisted with the formation and relicensing of Odin Re Ltd as a Class 3A insurer. Odin Re Ltd was initially licensed in 2018 as a special purpose insurer (2019);
- REWIRE BERMUDA FEEDER FUND, Acted Bermuda counsel to Rewire and Vida in connection with the launch of new ILS manager Merion Square. Initially 150 million (2019);
- HARAMBEE RE LTD., Acted as Bermuda counsel in connection with the private placement by international specialty re/insurer Argo Group’s collateralized sidecar, Harambee Re, for the 2018 renewal season. The sidecar was first launch in 2013, as the Argo Group began to work with third-party investors to gain access to efficient reinsurance capacity (2018);
- HOPLON III INSURANCE LTD., Advised on the incorporation and organisation of a special purpose insurer, Hoplon III, and the formation of the purpose trust pursuant to the third insurance-linked (ILS) securities transaction from MyLotto24, a UK-based lottery provider owned by the Zeal Group, with a matter value of €90M (2018);
- NAKAMA RE LTD., Acted as Bermuda counsel for Zenkyoren’s latest cat bond, Nakama Re Ltd., which launched seeking a $700 million source of fully-collateralized Japanese earthquake reinsurance protection for the agricultural mutual insurer (2018);
- PANTHER RE LIMITED., Advised on Panthera Re Limited’s issuance of a single $100 million tranche of Series 2018-1 Class A Principal At-Risk Variable Rate Notes (2018);
- SPECTRUM CAPITAL LTD., Advised on its first full cat bond issuance from Tokio Millennium Re (Bermuda) during its upsize from original $250 million to $430 million thanks to investor appetite and pricing (2018);
- TAILWIND RE LTD., Acted as Bermuda counsel in connection with Tailwind Re Ltd.’s first issuance of three tranches of Series 2017-1 notes to cat bond investors. The proceeds from the sale of these notes were used to fully collateralize underlying reinsurance agreements with Validus companies. This was Validus’ first full catastrophe bond issuance (2018);
- THOPAS RE LTD., Advised on the $95 million Thopas Re Ltd. sidecar which was launched by Chaucer Plc. Thopas Re Ltd is registered as a segregated accounts company under the Bermuda Segregated Accounts Company Act 2000, as amended, and is a fully collateralised reinsurance sidecar which will provide additional capital markets backed capacity to the reinsurance portfolio of Lloyd’s Syndicate 1084 (2018);
- TULLETT PREBON, Advised Tullett Prebon, one of the world’s leading interdealer brokers, on the launch of their Insurance-Linked Notes (ILN) platform which will allow registered users to buy or sell natural catastrophe protection using customizable instruments (2018);
- BONANZA RE LTD., Acted as special legal counsel in connection with the sale and issue by the client of a Series 2016-1 Class A and Class B Principal-at-Risk Variable Rate Notes with a total value of US$200 million (2017);
- WHITE ROCK INSURANCE (SAC) LTD., Advised White Rock Insurance (SAC) Ltd., a Class 3 insurer, on the listing on the Bermuda Stock Exchange of the White Rock Insurance (SAC) Ltd ILS Program (2017).

Kuvare Life Re Ltd. entered into its initial transaction including a portfolio of fixed annuity products from a highly rated Bermuda insurance company (2019);
- OCEANVIEW REINSURANCE LTD., Assisted with the formation and licensing of Oceanview Reinsurance Ltd. as a Class E insurer. Oceanview specializes in customized reinsurance solutions for fixed annuities and other asset intensive life insurance liabilities from the US market (2019);
- 777 RE LTD., Assisted with the formation and licensing of 777 Re Ltd. as a Class D insurer and acted as legal counsel in relation to the company’s first transaction. 777 Re was formed to write reinsurance on fixed annuities, particularly MYGA, issued in the U.S. and U.K., or other applicable jurisdictions (2019);

- STABLE GROUP, Acted as Bermuda counsel for the Stable Group in the structuring, establishing and licensing of its subsidiaries: Stable Corporation and Stable Bermuda (2021);
- FLEMING REINSURANCE LTD., Acted as Bermuda counsel for Fleming Reinsurance Ltd., a Bermuda-based specialist run-off insurer, in connection with its licensing as a Class 3A insurer. In January 2019, Fleming Reinsurance Ltd. announced the completion of its first run-off transaction (2019);

- AEGON, Appleby Bermuda acts as counsel to the Aegon group in connection with the proposed re-domiciliation of Aegon N.V. to Bermuda (2023);
- AFRICAN RISK CAPACITY LTD, Appleby Bermuda advised ARC Ltd, a long-standing client, on its first parametric insurance product against high-impact epidemic risks (2022);
- RELM II, Advised Relm II on its incorporation and registration as an ‘Innovative Insurer – General Business’ (Class IIGB) – the world’s first fully regulated collateralised reinsurance business accepting both fiat and crypto as collateral, enabling the creation of regulated reinsurance capacity for companies operating in the crypto space (2022);
