Bio

Christophe Kalinauckas is a partner within the corporate department in Jersey and has substantial offshore experience including corporate, banking & finance work, private equity work, restructurings, joint ventures, advising on several aspects of M&A deals and general non-contentious offshore law.

He is consistently ranked by Legal 500 and IFLR 1000 for Corporate, Banking, Finance and Capital Markets, and is praised for his ‘excellent attention to detail and great skill in transactions’. Clients also describe him as “great to work with, very knowledgeable, responsive and helpful.”

Christophe specialises in all aspects of corporate and private equity work, debt finance and real estate finance matters. He also has industry-leading expertise in listing securities on The International Stock Exchange, including green bonds, private equity acquisition debt, high-yield bonds and several prestigious Asian-backed debt listings.

Prior to joining Appleby, Christophe worked for over 15 years in private practice in Jersey and in the Cayman Islands, at two major offshore firms. He is a Jersey Advocate, and he has also been admitted as a Cayman Islands Attorney and English Solicitor (non-practising).

Work Highlights

Recent examples of work include:

  • Advising WE Soda, alongside Latham & Watkins, in relation to the debut offering of USD980,000,000 9.5% Senior Secured Notes due 2028, and USD500,000,000 9.375% Senior Secured Notes due 2031, which have been listed on TISE. This was the first issuer to be admitted to the TISE sustainable finance segment, TISE Sustainable, by holding the qualifying credential of an ESG Rating. The issuer remains admitted to TISE Sustainable.
  • Advising Ephios Subco 3 S.à r.l. (an entity controlled by funds managed and/or advised by Cinven) alongside Clifford Chance in relation to its offering of €450,000,000 7.875% Senior Secured Notes due 2031, which were listed on The International Stock Exchange (TISE), in connection with the financing for its public acquisition offer for up to 100% of the outstanding shares of SYNLAB AG. SYNLAB AG is Europe’s leading provider of laboratory diagnostic services and was listed in the Prime Standard on the Frankfurt Stock Exchange.
  • Acting as Jersey and Bermuda counsel, alongside Gateley PLC, to private equity firm NorthEdge on its investment into Friend MTS, a leading global provider of video content security services.
  • Advising AXIAN Telecom, alongside Latham & Watkins, in relation to the debut offering of USD420,000,000 7.375% Senior Notes due 2027, that are listed on TISE.
  • Acting as Jersey and Guernsey counsel, alongside Eversheds Sutherland, to Tower Transit which forms part of the Australian listed Kelsian Group, on the purchase of Libertybus in Jersey and CT Plus in Guernsey from the HCT Group.
  • Acting as lead counsel to TISE listed PraxisIFM Group Limited (PraxisIFM) on the sale of its funds business to LSE listed Sanne Group plc.
