Bio

Fanny Or is a Legal Manager in the Corporate department of Appleby’s Hong Kong office.

Fanny specialises in handling a wide variety of matters in corporate finance, including initial public offerings, mergers and acquisitions, listed company compliance and other general corporate and commercial matters.

Fanny is native in Cantonese and fluent in English and Mandarin.

Prior to joining Appleby, Fanny worked with Sullivan & Cromwell in Hong Kong.

  • acted as Cayman legal counsel on downstream financing transactions in connection with the acquisition of Jinjer, one of Japan’s leading HR SaaS companies, by Potentia Capital, Australia’s leading technology-focused private equity and growth capital firm, and J-STAR Co., Ltd., a prominent Japanese private equity firm specializing in mid-cap companies.
  • acted as Cayman counsel to Allied Gold Corporation, a Canadian-based gold producer with production and exploration assets in Africa and listed on the Toronto Stock Exchange, on the closing of its streaming transaction with Triple Flag International Ltd., a wholly-owned subsidiary of Triple Flag Precious Metals Corp. and another streaming transaction with a gold royalty company.
  • acted as Cayman Islands counsel to Black Spade Acquisition II Co on its SPAC IPO of 15,000,000 units at a price of $10.00 per unit to be listed for trading on Nasdaq under the ticker symbol “BSIIU”.
  • acted as Cayman Islands counsel for the Special Committee of the Board of Directors of PropertyGuru Group Limited advising on offshore aspects of its proposed merger with EQT AB by way of a Cayman statutory merger, expected to close in Q4 2024 or Q1 2025.
  • acted as BVI counsel on corporate and financing aspects to the privatization of Hollysys Automation Technologies, Ltd. by way of a BVI statutory merger which became effective on 25 July 2024 with an all-cash acquisition valued at approximately USD1.66Bn.
  • acted as Cayman counsel to Zhongliang Holdings Group Company Limited, a Shanghai-based company listed on the Hong Kong stock exchange and primarily engaged in real estate development business, on financing aspects of the restructuring of its offshore debts, totaling approximately USD1.2 billion, which was implemented by way of a Hong Kong scheme of arrangement and received overwhelming support from its creditors.
