Bio

Katherine Garrood is an experienced Corporate and Regulatory lawyer in the Isle of Man office.

Katherine regularly advises financial institutions on the cross border provision of financial services, as well as locally licensed banks, insurers, fund managers and corporate service providers. She also acts for private equity owners of regulated entities, working on numerous change of control applications. Katherine is a member of Appleby’s global technology and innovation team, with a particular focus on payment services and data protection.

Katherine is one of the Isle of Man’s leading experts on investment funds, acting as counsel to a significant proportion of Isle of Man funds. She is a former Chair of the Isle of Man Wealth & Fund Services Association, and continues to sit on the committee heading up regulatory matters. She advises on anti-money laundering compliance, sitting on the AML/CFT Advisory Group co-ordinated by the Isle of Man Cabinet Office and participating in the Isle of Man National Risk Assessment on behalf of the funds and wealth sector.

In addition to her regulatory practice, Katherine also acts on complex restructurings and mergers and acquisitions, including a number of the largest Isle of Man insurance transactions over recent years. Her general corporate and commercial practice extends to shareholder agreements, terms and conditions and corporate governance.

Katherine joined Appleby as a trainee in 2011 and was commissioned as an Isle of Man advocate in 2013 after being awarded a commendation in the Manx Bar Exams. She has previously undertaken a secondment to Appleby’s Guernsey office.

  • Acting for The Royal Bank of Scotland International Limited on the transfer of the Isle of Man Bank deposit-taking, lending, investment and insurance intermediary business to RBSI, by way of court-sanctioned transfer scheme.

  • Acting for Ferrous Resources Limited on its USD550m sale to Vale SA by way of merger.

  • Acting for CarTrawler on its sale to TowerBrook Capital Partners L.P. and EUR100m investment.

  • Advising CVC and Blackstone in relation to Isle of Man aspects of its £3 billion acquisition of FTSE 250 company Paysafe Group plc.

  • Acting for Palatine Private Equity on matters of Isle of Man law in connection with its investment in SMP Partners (now Suntera). .

  • Advising Strix Group plc on matters of Isle of Man law in connection with its £190 million listing on AIM.

  • Acting for Zurich International Life Limited on the sale of its closed book of long term life insurance business carried on by its Singapore branch to Monument Group.
  • Acting for Alvarium Investments on its USD1.2 billion business combination with Tiedemann Group and SPAC Cartesian Growth Corporation, now trading on NASDAQ as Alvarium Tiedemann Holdings, Inc.
  • Advising Blackstone on the EUR21 billion recapitalisation of Mileway, the largest private real estate transaction ever.
  • Advising on the formation, operation and wind-down of collective investment schemes.
